TERMS & CONDITIONS OF SALE\u00a0<\/b><\/p>\n

Form 4.3 D, Rev.—, Revised 8\/27\/97\u00a0<\/span><\/p>\n

This agreement is to be governed by the laws of the state of Massachusetts.\u00a0<\/span><\/i>
<\/span><\/i><\/p>\n

QUOTATIONS – <\/b>Clerical errors are subject to correction.\u00a0 Orders\/contracts are subject to acceptance at Swissturn\u2019s home\u00a0 office.\u00a0<\/span><\/p>\n

QUANTITIES – <\/b>Buyer agrees to accept over\/under runs not to\u00a0 exceed 10% of ordered quantity on each line item. Closer control\u00a0 of quantity requires special arrangements with Swissturn.\u00a0<\/span><\/p>\n

CANCELLATIONS – <\/b>Orders may be canceled or deliveries\u00a0 deferred only upon the condition that the buyer assumes\u00a0 immediate liability and makes payment for all work completed and\u00a0 in process. Such charges shall include raw material, unamortized\u00a0 tooling, engineering, handling, overhead, and production costs.\u00a0 Such charges to be determined at time of cancellation or\u00a0 deferment.\u00a0\u00a0<\/span><\/p>\n

Swissturn USA reserves the right to cancel an\u00a0 order\/contract at anytime without penalty if it cannot meet the\u00a0 requirements of the order\/contract.\u00a0<\/span><\/p>\n

DELIVERY\/SHIPMENTS – <\/b>Swissturn shall not be liable for\u00a0 damages for default or delay in production or delivery for causes\u00a0 beyond its control, including an accident to or breakdown of its\u00a0 equipment, labor disputes, embargoes, acts of God, supplier\u00a0 delays, government restrictions, riot or carrier delays. Bulk\u00a0 packaging is standard. Buyer shall bear the expense of all other\u00a0 packaging.\u00a0<\/span><\/p>\n

TAXES <\/b>– All sale and\/or use taxes and Custom duties imposed\u00a0 by Federal, state, county or municipal authority upon Swissturn\u2019s\u00a0 transfer and delivery of merchandise hereunder shall be paid by\u00a0 the buyer.\u00a0<\/span><\/p>\n

PAYMENT TERMS – <\/b>All sales, if on credit, are net 30 days\u00a0 from date of shipment, unless otherwise specified on invoice. All\u00a0 past due accounts accrue interest at 1.5% per month on the\u00a0 declining unpaid balance or the legal rate of interest, whichever is\u00a0 less. Interest is added to the past due balance and the total thereof is subject to interest for the next billing cycle and shall continue\u00a0 accruing interest until paid. The accrual or payment of interest\u00a0 does not authorize us to defer payment of any indebtedness\u00a0 beyond the credit terms stated herein or defer payment of any past\u00a0 due bill. In the event of delinquency of any account, Buyer shall\u00a0 pay for all collection costs, attorney\u2019s fees and court costs incurred\u00a0 in collection, regardless of whether judicial action is taken or\u00a0 otherwise.\u00a0<\/span><\/p>\n

SAMPLES –<\/b>If requested, Swissturn will submit samples for\u00a0 approval when commencing production upon any order. It is\u00a0 understood its machines are to be run immediately. Any changes\u00a0 in original specifications will be made only at buyer\u2019s direction\u00a0 and expense. Swissturn will be notified immediately with notice\u00a0 followed by written confirmation.\u00a0\u00a0<\/span><\/p>\n

SPECIFICATION – <\/b>Buyer agrees to provide Swissturn with an\u00a0 original copy (i.e. not faxed) copy of all required specifications. If\u00a0 the buyer fails to provide a clear original copy of all\u00a0 specifications, Swissturn will request a written release from\u00a0\u00a0<\/span><\/p>\n

responsibility for any product manufactured that does not meet the\u00a0 specifications.\u00a0<\/span><\/p>\n

CLAIMS – <\/b>In all claims for shortages, buyer must notify seller\u00a0 within 15 days of receipt of shipment. The original packaging,\u00a0 including exterior cartons, must be saved so that Swissturn can\u00a0 make a claim with the carrier. Charges for repair or inspection of\u00a0 parts by buyer, without prior written authorization, cannot be\u00a0 honored. Claims will not be honored on those parts further\u00a0 processed by buyer resulting in change of dimensions or\u00a0 characteristics from parts ordered.\u00a0<\/span><\/p>\n

TOOLING – <\/b>Tools, dies, gages, fixtures are an integral part of\u00a0 the manufacturing process and included in engineering charges.\u00a0 As a proprietary item, payment by the buyer, whether separately\u00a0 quoted or not, conveys neither ownership nor the right of removal\u00a0 from Swissturn\u2019s possession.\u00a0<\/span><\/p>\n

PATENTS – <\/b>The products hereunder are manufactured in\u00a0 accordance with the buyer\u2019s specification and design.\u00a0 Accordingly, buyer shall defend and save harmless Swissturn from\u00a0 all damages, claims, actions or suits based upon actual or alleged\u00a0 infringement of any patent registered in the U.S. or elsewhere.\u00a0 Indemnity shall include attorneys fees and other costs in defending\u00a0 such claim.\u00a0<\/span><\/p>\n

WARRANTY – <\/b>Swissturn warrants that goods manufactured by\u00a0 it will conform to the drawings and specification furnished by\u00a0 buyer. Where products are used and combined with other\u00a0 equipment or components not furnished by Swissturn or further\u00a0 processed by the buyer, buyer agrees to indemnify\u00a0 Swissturn USA, Inc. for all claims and expenses resulting from\u00a0 the use or incorporation into buyer\u2019s products.\u00a0<\/span><\/p>\n

There are no other warranties, expressed or implied, either of\u00a0 merchantability or fitness for purpose.\u00a0<\/span><\/p>\n

LIMITED LIABILITY – <\/b>Swissturn\u2019s liability shall be limited to twice the amount of the contract.\u00a0<\/span><\/p>\n

COMPLETE CONTRACT – <\/b>This agreement constitutes the\u00a0 entire contract between Buyer and Swissturn USA. No\u00a0 modification hereof shall be of any force and effect unless in\u00a0 writing and signed by the party claimed to be bound thereby, and\u00a0 no modification shall be effected by an acknowledgment or\u00a0 acceptance by Swissturn USA of a purchase order from Buyer\u00a0 containing any different terms and conditions, which terms and\u00a0 conditions, to the extent inconsistent, shall be deemed superseded\u00a0 by the terms and conditions set forth herein and in the other\u00a0 documents delivered by Swissturn USA and Buyer. A waiver of\u00a0 any of the terms or conditions hereof shall not be deemed a\u00a0 continuing waiver, but shall apply solely to the instance to which\u00a0 the waiver is directed.<\/span>

The foregoing states Swissturn\u2019s entire and exclusive liability. In no event will Swissturn be liable for consequential or\u00a0 special damages arising from any defect or use of its products.
